Terms and Services
- All website content, including text, images, videos, and other media, must be supplied by the Client to Coders Desk before the commencement of work. Coders Desk shall not be held responsible for delays arising from late or incomplete content delivery.The Client is solely responsible for maintaining secure backups of all existing website data prior to granting Coders Desk access for project execution. Coders Desk shall not be liable for any loss, corruption, or damage to data under any circumstances.Unless explicitly stated and agreed upon in writing, Coders Desk is not responsible for data entry, hosting services, or the creation of custom graphics or artwork. Any materials designed or supplied by Coders Desk shall remain its property or that of its licensors unless otherwise contractually agreed.
While every effort is made to meet estimated timelines, delivery schedules may be adjusted due to unforeseen circumstances such as third-party dependencies, deployment challenges, technical bottlenecks, emergencies, or communication delays.
The Client will be provided opportunities to review design layouts and completed deliverables. Feedback must be provided within seven (7) days of submission. Failure to respond within this timeframe shall be deemed as approval and acceptance of the shared work.
The Client retains ownership of all logos, data, and materials supplied and grants Coders Desk permission to use them for project delivery. The Client confirms that all third-party materials used are properly licensed and agrees to indemnify Coders Desk against any claims arising from copyright violations.
Coders Desk shall not be responsible for any changes, modifications, or damage caused by the Client or third parties after deployment. Any corrective work required may be subject to an additional one-time development charge.
If the Client chooses to cancel the service before project completion, a cancellation fee equivalent to the work completed up to that point may be applied.
Failure to clear cancellation fees or overdue payments may result in legal action if deemed necessary.
Support and Third-Party Services
Upon launch, Coders Desk provides complimentary support for the first month. Post this period, ongoing support will be available through paid packages based on the Client’s needs. Support coverage is limited to bug fixes and email assistance and excludes architectural changes, feature upgrades, or enhancements.
Coders Desk does not provide warranties or guarantees for the functionality, performance, or accuracy of third-party tools, platforms, or services integrated into the project.
Upgrades or changes to third-party services are not included in the project scope and may require revised timelines and additional charges, subject to feasibility.
Rework, Enhancements, and Billing
Any features or functionality not defined in the original scope of work will be managed through a formal change request process and billed separately. Scope changes requested after wireframe or design approval may impact delivery timelines and costs.
Certain changes may be classified as enhancements or add-ons and will be chargeable. The Client will be informed before such work begins.
Requests for revisions or modifications after approval or progression to subsequent project stages may be treated as additional work and invoiced accordingly.
All invoices raised by Coders Desk must be paid in full by the agreed due dates without deductions or offsets.
Limitation of Liability
Coders Desk will perform services with reasonable skill and care. However, no warranties—express or implied—are provided regarding availability, accuracy, completeness, performance, or suitability of the services.
Coders Desk, its employees, and representatives shall not be liable for any losses or damages arising from errors, delays, omissions, or inaccuracies, including loss of data or client-supplied materials, whether due to negligence or otherwise.
Except in cases of death or personal injury caused by proven negligence, Coders Desk shall not be liable for any direct, indirect, incidental, or consequential damages, including loss of profits, business interruption, or third-party claims.
Coders Desk shall not be held responsible for failures or disruptions caused by third-party service providers.
Approvals and Delivery
Projects are executed in defined stages. Progression to subsequent stages will occur only after approval and payment for the previous stage.
Upon final completion and receipt of all payments, all developed code and materials will be handed over to the Client, and ownership shall transfer accordingly.
Coders Desk reserves the right to showcase completed or deployed projects in its portfolio or marketing materials unless the Client requests otherwise in writing prior to project completion.
Severability
If any provision of this agreement is deemed invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.
